The National Securities Depository Limited (NSDL) has launched its much-anticipated initial public offering (IPO), making headlines across the Indian financial ecosystem. The IPO opened on July 30 and will remain open until August 1, 2025. Priced between ₹760 and ₹800 per share, the IPO is entirely an offer-for-sale (OFS), meaning no fresh equity is being issued. Existing shareholders are offloading up to 5.01 crore shares, with no dilution in promoter holding.

This public issue is notable because NSDL plays a pivotal role in India’s stock market infrastructure, maintaining over 3.9 crore demat accounts and handling trillions worth of assets.

Strong Day-One Response from Investors

Investor interest was remarkable, with the IPO fully subscribed in just 3.5 hours on Day 1. According to market analysts, this level of enthusiasm is driven by the company’s dominant position in the depository segment, its consistent performance, and robust governance framework.

Retail investors have a 35% quota, while Qualified Institutional Buyers (QIBs) and Non-Institutional Investors (NIIs) are allotted 50% and 15% respectively. Each lot comprises 18 shares, requiring a minimum investment of ₹14,400 at the upper end of the price band.

Grey Market Premium and Anchor Investor Support

As of July 30, NSDL shares were commanding a grey market premium (GMP) of ₹150–₹170, pointing to a potential listing price of ₹950–₹970. This signals a 16% to 21% expected gain for investors upon listing.

The IPO also received a boost from institutional players, with NSDL raising ₹1,201 crore from anchor investors a day before the issue opened. This early participation reflects institutional trust and often sets a positive tone for retail subscription.
